Review on 'Agent' (Chapter 7) of General Principles of Civil Code

從代理規則的屬性、結構上看，代理不具有獨立成章的意義和必要，且比較法上沒有代理獨立成章的先例。《民法總則草案》第七章“代理”應回歸於第六章“民事法律行為”，繼第四節“民事法律行為的附條件和附期限”之後，設置第五節“民事法律行為的代理”。第七章代理一定程度上濫用了 “法律除外條款”，應予以刪除或修正。《民法總則草案》第143條、第149條、第151條、第152條都需要進行修改，第144條、第147條應該刪除，此外應增加“間接代理”“緊急代理”“共同委託”等規定內容。

From the attributes and rules of agency structure, 'agent' does not have independent significance and necessity to be enacted into one chapter, which is proved in comparative law. Chapter 7 'agent' should be returned to Chapter 6 'legal act', following the fourth section 'conditional legal act and the legal act with duration' and being stipulated as the fifth section 'agent of legal act'. Due to the abuse of legal exclusion clauses in Chapter 7 'agent', they should be deleted or modified. Articles 143, 149, 151 and 152 need to be modified; Articles 144 and 147 should be deleted; 'indirect agency', ' emergency agency' and 'joint entrustment' provisions should be added to the system of agent.
