The system of the right of first refusal is an important issue in practice. However, the existing studies are insufficient. For example, there are controversies regarding "the conflict of several other co-owners' rights of first refusal of Article 34-1 of the Land Act". The issue has a great influence on the interests of the co-owners. This study lists the concerned provisions and the existing different viewpoints and then analyzes the issue. This study emphasizes effective utilization of the real estate and the interests of the concerned parties and stresses on the cost-benefit analysis. This study discusses the existing doctrine, practice, and the draft amendment and makes some propositions. As for the conflict of several other co-owners' rights of first refusal, the possibility of the decision made by the seller shall be considered in the scope of the purpose of the rights of first refusal. |
