On the Consensus and Its Determination in Private Law

合意是對當事人的客觀表示進行解釋而形成的一致。在表示內容引起爭議時，應對表意人的表達與受領人的信賴附加可歸責性要件，以此作為判定合意的價值基 礎。當事人約定的對能夠成為法律秩序所認可的行為達成的一致是合意的最低限度（確定性），其他條款可以透過補充解釋以及任意性規範予以填補。“鏡像規則”已不能完全適應交易的需要，應對此適當修正。合同意向書的性質應依據其內容是實體性條款還是程序性條款分別予以認定。

Consensus is consistent with the objective representation of the parties to explain the formation. When the content of representation led to controversy, additional attribution requirements should be added to the party who made the representation and the recipient party as a value basis for determining the consensus. The minimum standard for consensus should be the agreement between both parties which can be recognized by the law, the other terms can be filled by additional explanations and arbitrary norms. 'Mirroring rules' cannot fully meet the needs of the transaction, which needs properly corrected. The nature of the contract should be identified based on its substantive provisions content of Intent or procedural provisions.
