股東派生訴訟－－基於一個典型案例的深入分析

Shareholders’ derivative action is one of the important issues in the theory of corporate law. This paper, adopting the methodology of case study, describes the theory of shareholders? derivative action and other related theories based on a detailed analysis of a representative case. The author analyzes the following critical question: how should the court try this kind of cases while there are few laws or regulations on shareholders’ derivative action in P. R. China? The author gives detailed analyses on some critical issues, such as the definition and base of shareholders’derivative action, acceptance of this kind of cases, demandon the parties, exhäustion of intra-corporate remedies and the role of the court in shareholders’ derivative action, etc.
