“民法典”編纂中未完成作品出質制度的構建

未完成作品出質，是當下我國文化企業發展過程中融資的首選媒介。囿於立法缺失及其他各種因素，導致實踐中未完成作品出質面臨法律規範基礎缺失、公示方式存有缺陷以及出質人及質權人利益的平衡保障等具體問題。這些是制約文化企業融資發展的主要問題。目前，我國“民法典”編纂工作正處於緊鑼密鼓的進程中，建議在其中的“質權”部分引進浮動質押，從而創設未完成作品出質制度，明確出質主體和出質客體範圍以保護相關當事人的利益，完善出質公示制度，突破未完成作品出質的困境。未完成作品出質制度的創設，不僅有助於促進文化企業有效融資，推動文化產業發展，也有利於推動我國“民法典”中擔保制度體系的完整構建。

Present1y, the pledge of unfinished work is a preferred choice of financing among cultural enterprises development in China. But due to lack of legal norms and a variety of factors, there are many problems which exist in the pledge of the unfinished work, such as the lack of legal norms, the publicity defects and the balance of the interests between the pledgor and pledgee. These issues are major problems in the development of cultural enterprise financing. At present, the establishment of floating pledge system in Civil Code, the definitude of pledgor and pledgee to protect the interested parties and the improvement of the pledge publicity system to solve the dilemma of the pledge of unfinished work are beneficial ways to promote the financing of cultural enterprises.
