Legal Study on Financial Product of the Return Right on Assets：Thoughts on the Basis of Its Structure

“資產收益權類理財產品”是銀行在互聯網金融興起的背景下推出的創新金融產品之一。該類產品的交易結構較為复雜，主要包含了三個法律主體、兩個法律關係與五個法律環節。在這些复雜的交易結構中，存在著產品准入政策風險、特定基礎資產及收益權合法性風險、投資範圍與投資管理等風險，需要從理財產品的審批、報告程序、融資企業資產調查與評估、投資者信息披露、產品管理及資金監控等方面進行風險防范，從而保證銀行理財產品安全，保護金融消費者權益以及維持金融市場穩定。

Financial product of the return right on assets is a new kind of financial product presented by commercial banks on the background of internet finance. It has complicated structure which contains three legal subjects, two legal relationships and five legal aspects. It needs to be prevented from access policy risks, legitimacy risks and investment management risks in the aspect of product approval, report procedure, information disclosure, product management and ifnancial supervision to ensure the safety of the product, the right of ifnancial customer and the stability of the ifnancial market.
