Safe Harbor Rule of Limited Partnership Act in the United States：Focus on the Deifnition of Limited Liability

“安全港規則”是美國有限合伙法上一項有限責任的重要認定規則，它與“控制權規則”“信賴檢驗規則”等其他規則共同構成美國有限責任界定的規則體系，在保持有限合伙人有限責任保護和管理權擴張的平衡中發揮著重要作用。中國移植的美國的“安全港規則”在當下有限合伙運用中卻面臨種種困難和挑戰，存在“南橘北枳”制度移植失敗的風險。研究美國有限合伙法中“安全港規則”的嬗變和運用的經驗，可以為我國修改和完善有限合伙法上的“安全港規則”提供重要借鑒。

Safe Harbor Rule of Limited Partnership Act in the United States is an important rule of the afifrmation of limited liability. Together with Control Rule, Reliance Test and other rules, Safe Harbor Rule constituted the rule system of the deifnition of limited liability and played an important role in the balance between the protection of limited partners’ limited liability and the extension of limited partners’ management. Safe Harbor Rule transplanted by China faces various difficulties, challenges and the risk of failure of system transplant. The research of the change and application experience of Safe Harbor Rule of Limited Partnership Act in the United States could provide important reference for the modification and improvement of Chinese Sage Harbor Rule of Limited Partnership.
