雙邊投資協定的規則談判重於減讓談判

Rule Negotiation is More Important than Concession Negotiation in BITs

雙邊投資協定談判可分為“規則談判”與“減讓談判”。規則是原則的表現和減讓的基礎、規則是義務的“質”的規定，而減讓只是義務的“量”的規定，在缺少多邊國際投資條約的情況下，雙邊投資協定將以其規則塑造未來的多邊國際投資體制，因此，協定的規則談判重於減讓談判。就中美雙邊投資協定談判而言，由於該項談判將在很大程度上影響著未來的國際投資法律體制的創建、影響未來的國際經濟秩序對“中國模式”的容忍程度並考驗中國政府構建“制度性權力”的能力，所以，中美雙邊投資協定談判不應急於從規則談判轉向減讓談判。

A BIT negotiation may be divided into rule negotiation and concession negotiation. Since rules reflect principles and constitute basis for concessions, determine the “quality” of obligation while concessions show the quantity”, and the rules of BITs shall shape the future international investment system, much attention should be paid to rule negotiation rather than concession negotiation. So far as Sino-US BIT negotiation is concerned, since it will give much influence on future international investment system, determine the tolerance of international economic order towards “Chinese Model”, and constitute a test for Chinese government’s ability for“institutional power”, the negotiation shall not shift rashly from rule negotiation to concession negotiation.
