智慧財產權之授權，於實務上普遍且重要，而隨著經貿關係全球化、資訊之跨國流通、各國人民來往頻繁，智慧財產權之跨國授權，更是多所常見，智慧財產權授權之國際私法問題，愈發重要，倘智慧財產權之跨國授權發生爭執而訴訟於法院，法院即須依國際裁判管轄權之決定、準據法選擇等國際私法程序加以處理。本文探討智慧財產權授權及其國際私法問題，從智慧財產權授權之理論基礎、授權之法律結構、授權之法律性質三問題切入，分析此三問題對涉外智慧財產權授權事件之影響，並以此為基礎，分從立法論及解釋論，分析涉外智慧財產權授權事件之定性及準據法選擇。

An intellectual property licensing agreement grants the licensee the ability to use intellectual property owned by the licensor. Intellectual licensing agreements are commonly used by the licensor to commercialize their intellectual property. As the internationalization of agreements pertaining to licensing intellectual property rights increases, complex private international law issues might arise. Thus, this article primarily focuses on the private international law issues in relation to licensing of intellectual property. Moreover, the main analysis and discussion in this article will therefore elucidate particularly the characterization and the applicable law of licensing of intellectual property.
