商業秘密保密措施之合理性判斷標準

保密措施的合理性認定，是我國商業秘密案件的審理難點。對於何為合理的保密措施，理論界也沒有提供有價值的參考方案。其表層原因在於，秘密性要件、價值性要件等外在因素的干擾，使得保密措施要件徒有獨立之名，卻無獨立之實。究其深層原因，適用者未認識到保密措施要件的規範目的，在於促進商業秘密的有限分享。基於此規範目的，在義務型獲取商業秘密情形中，合理的保密措施表現為義務“範圍”和“內容”的限制;在非義務型獲取中，保密措施可類型化為商業秘密竊取的阻止措施和反向工程禁止措施，在這兩類保密措施中，有關保密措施合理性的爭議，均要回歸保密措施要件的規範目的才可得以解決。

The determination of the reasonableness of confidentiality measures is a difficult issue in the adjudication of trade secret cases in China. There is no valuable reference solution from the theoretical circle regarding what constitutes reasonable confidentiality measures. On the surface, this is due to the external interference of the secrecy requirement and the value requirement, making the confidentiality measures requirement appear to be independent in name only, without true independence in practice. The deeper reason lies in the failure of practitioners to recognize that the normative purpose of the confidentiality measures requirement is to promote the limited sharing of trade secrets. Based on this normative purpose, in cases of duty-bound acquisition of trade secrets, reasonable confidentiality measures are reflected in the limitation of the“scope”and“content”of the duty. In cases of non-duty-bound acquisition, confidentiality measures can be categorized into the measures to prevent the theft of trade secrets and the measures to prohibit reverse engineering. In both types of confidentiality measures, disputes over the reasonableness of the measures must return to the normative purpose of the confidentiality measures requirement in order to be resolved.
