This study examines issues regarding the influence of ownership structure on anti-takeover defenses. In light of the perspective of ownership structure, because companies in America and UK have dispersed ownership structure, the researches of corporate governance always emphasize on reducing the agency costs resulted from separation of ownership and control. But the ownership of EU and Taiwan is controlled by a few shareholders, who are called as “controlling shareholders” and the ownership structure is centralized. Therefore, companies should build up better mechanism of corporate governance in order to protect minority shareholders and also to decrease the conflict between controlling shareholders and minority shareholders. My study try to find out the connection between ownership structure and anti-takeover defensive tactics, and have a conclusion that Taiwan should adopt “mandatory bid” and “board neutrality rule” to put the protection of minority shareholders into effect. |
