中小企業公司治理法制問題之探討

A study on the legal framework of Corporate Governance of SMEs (Small and medium enterprises)

中小企業之公司治理是一個極為複雜而相對被忽略的問題，在討論公司治理法制時多是以經營所有分離之大型企業為主，但是中小企業由於規模較小，相對於大企業，其股東人數較少且緊密而需要特別的標準來規範其股東間的法律關係。很多的法律修正都強調調整中小企業規範的適用範圍與內容，例如以有限公司法來規範，使更多的中小企業組織能夠更方便運用法律，尤其是使公司法制更能適用於中小企業的設立與經營以及避免濫用有限責任，因為在近年來的經濟發展的過程中，法制的調整日漸顯出重要性。通過調整公司法制規範，使得治理結構能夠簡化和保障投資人。而中小企業之認定也有一定之難處，必須由其質與量和特徵面來加以判斷。傳統之公司法制並未對不同大小的公司加以分類並給予不同的法制待遇，但在現代經濟市場中，大小公司彼此差異性極大，且對政府而言也代表著不同的意義，大型公司對於經濟社會之影響力已不容等閒視之，且有許多大型公司係經營與所有分離，而相對的小型公司，因為小型公司股東人數較少，彼此較可能存在有信賴關係，運作上可多給予自由之空間，所以在公司法制中對於不同大小規模之企業或公司給予符合其特性之法制規範也是一個必然之趨勢。以比較法之觀點來看，德國的有限公司法主要是針對中小企業的適用而設計，同為大陸法系之德國如何利用有限公司法制來處理中小企業公司治理問題，是可以加以觀察的，本文亦擬由德國對於有限公司法制修法之內容，做我國修法大方向之檢驗，以利中小企業公司治理。

The Corporate Governance of SMEs is a difficult issue. How to define the Small and medium enterprises is the first difficult problem. The "Gesellschaft mit beschränkter Haftung" (GmbH - Private Limited Company) is the most popular organizational form for businesses in Germany. The organizational form of the Small and medium enterprises is suitable for the Private Limited Company. This Study first is going to introduce and analyze the Corporate Governance of SMEs for its original thought, principal goal and major content. Then this research will introduce the amendment of German private limited company Law. In the end, this Study is going point out, that Taiwan should find its own way of the Corporate Governance of SMEs and the reform of corporation Law for its next generation.
