隨著時代前進和社會實踐的發展，一些新的契約現像用傳統的契約法理論難以解釋。針對意思自治理論的局限性，麥克尼爾、內田貴等學者提出關係契約理論，指出契約關係相對於當事人合意的獨立價值和作用，成為契約法學上新興學說。關係契約理論提出並強調了關係這個長期為人們所忽視的契約要素，指出契約作為特定結合關係，其關係本身有其特定價值和規範導引作用。關係契約理論進一步發展了契約理論的人文價值觀，強調當事人基於契約關係合作互惠和平衡利益的價值導向，該理論有其獨立存在的價值和理論發展空間。As time progresses and society advances， the traditional contract law theory is difficult to explain the new contract practices. According to the limitation of the autonomy of the will， the relational contract theory was put forward by Ian R. Macneil and other scholars which emphasizes the independent value and function of contractual relationship. As a specific and dynamic combination， the contract relationship has its particular value and guidance function which has long been ignored. Emphasizing upon the value guidance of reciprocity and balance of interests based upon the contractual relationship between parties， the relational contract theory further develops the humanity value of contract theory， which should be given independent status and room for development.
