台資企業在大陸上市問題之探討

A study on Taiwan Enterprise’s Listing on China stock market

為符合WTO國民待遇原則的規範，大陸當局已賦予外資企業在其境內上市的權利，惟至2003年底止，僅兩家資本額約1億人民幣的小型外資企業獲准上市。本文謹針對外資企業在大陸上市的可能途徑及相關規定逐一分析，探討台資企業上市所可能面臨的問題，特別是關聯交易及同業競爭部份。此外，並進一步分析台資企業在大陸上市對企業本身及對我國整體經濟所可能產生的影響，提出四項相關建議。

Although China authorities had allowed foreign business to list on China’s stock market since 2001, there are only two small-size foreign enterprises getting the initial public offering (IPO) license till the end of 2003. To analyze the impact of listing on China stock market, we will check the related regulations and find the likely difficulties Taiwan business may encounter, especially about the transaction and competition between the conglomerate. Besides, we will also indicate how Taiwan enterprise’s IPO in China will effect the business operation and our macroeconomic situation. There will be some opinions at last.
