論表決權信託在產融結合領域的實現

The Implementation of the Voting Trust in the Integration of Commerce with Finance

表決權信託制度源於美國，是一項彈性大且極具靈活性的制度，在其制度的衍變史上，也與反壟斷有著千絲萬縷的聯繫。產融結合是工商企業充分市場化和銀行業充分商業化的必然產物。而在產融結合的過程中尤其是產融混業中暴露出我國金融監管制度有太多漏洞，以及在產融結合過程中的反壟斷規制等問題。從我國目前立法來看，對上述兩大難題都是從公司外部予以立法規範，而本文之主旨在於試圖通過表決權信託制度在產融結合領域中的應用，完善公司治理結構，從而解決產融結合領域中金融監管難、反壟斷規制等諸多難題，並以期該制度能與外部法律制度達到聯動效果，進而促進產融結合的健康發展。

The system of voting trust originated from United States， it’s a system has a large elastic and extremely flexible in the United States， at the same time， in the history of development of the system always closely related with the Anti-monopoly. Generally， the Integration of Commerce wit Finance(ICF) is financial industry and industry ad commerce business through the credit， equity， personnel matters become combination. But in the process of ICF， all dinks of problems urgent to be resolved by legislation to setting standards， especially is our country’s financial regulatory system exposed many vacuum zone in the regulation of ICF， and other problems， like Anti-trust regulation in the process of ICF， and so on. From our country’s current legislation and see， the above two big economic law problems were resolved by legislation from the outside of corporation， and the goal of this paper is try to analyses the system of voting trust application to ICF， perfect corporate governance， so as to solve the problems in the CIF， and expect the system could be together with external economic law systems to achieve a linkage effect and promote development of the organization of ICF with healthy.
