The litigations regarding company decisions can be classified into two types: (1)A person other than shareholders claims that a company decision shall be null and void because he/she is effected by the would-be invalid company decision. This type of litigation belongs to the common declaratory suits. (2)A shareholder suits against the company to nullify the company decision. This type of litigation serves the function of supervising the company decisions for the public interest. In the future, a litigation to nullify the company decision and a litigation to cancel the company decision should be treated in the same way because both have the common function. Additionally, in order to avoid inconsistent judgments, the res judicata of litigation regarding company decisions for the public interest should be extended to apply to all the shareholders. |
