韓國商法總則和商行為編中民法地位考察

A Study on the Legal Status of Civil Law Presented in the Parts of General Provisions and Commercial Activities of Korean Commercial Law

中國於2017年3月頒佈了民法總則，對民法與商法的關係進行了再整理。韓國在獨立之後，即實行民商分立的立法例，單獨制定了民法典與商法典。對於民法與商法的關係，我們應當從相互完善的立場認定其獨立性與自主性。從商法是民法的特別法這一點來看，在規範交易生活關係上，民法與商法存在類似性，在這種情形下，民法作為商法的特別法，也認定並維持商法的特殊性。本文基於這一立場，闡述並分析商法上是否適用於民法的一般規定，以及在商法體系上民法的地位，進而再檢討民法與商法的關係。

China has stepped into a new era regarding the relationship between civil law and commercial law since the Ceneral Provisions of the Civil Law has been enacted in March, 2017. Worthwhile, Korea has such a long history of civil law and commercial law, since Korean Civil Act first enacted in 1958 and Korean Commercial Act in 1962. In Korea, the independent status of civil law from commercial law is acknowledged. But the status of commercial law is special from the general status of civil law. Commercial law specifies some special arrangements of civil law to regulate some relationship in transactions whereas the same would happen in the similar circumstances of civil law. This article examines the general status of Civil Act and Commercial Act in Korea through studying some special regulations under the Korean Commercial Act in order to give some suggestions to China's future practices.
