協商的代價：數位社會合同自由的認知解釋與演算法實現

確保當事人自由選擇的有效性是改善合同治理效率的關鍵。進入數字社會後，複雜的決策環境和高昂的認知成本使人們的合同行為模式發生了巨大的變化，合同自由被嚴重侵蝕，淪為有名無實的文本宣示。隱藏在虛假自由背後的認知控制，是探討合同自由問題的一個重要維度。傳統合同法在應對當事人協商不足、放棄選擇問題上採取形式主義的解釋路徑，依靠不精確的缺省規則來探尋合同真意，已被證明無法應對數位技術的衝擊。以行為大資料與智慧演算法為核心，將資料驅動與規則驅動兩條技術路線有機結合，修正合同治理的底層邏輯，從締約助推、演算法解釋、缺省規則三個方面進行個性化改造，使治理的重心從模糊的整體轉向精確的個體，能夠顯著提升合同治理效率，更好地實現交易公平。

Ensuring the effectiveness of parties’ free choice is the key to improve the efficiency of contract governance. Into the digital society, the complex decision-making environment and high cognitive cost have made great changes in people’s contract behavioral mode. Freedom of contract has been seriously eroded and reduced to a nominal text declaration. The cognitive control hidden behind the false freedom is an important dimension to explore the freedom of contract. The traditional contract law adopts a formalistic interpretation to deal with the problem of insufficient negotiation and giving up choices, and relies on imprecise default rules to explore the true meaning of the contract, which has been proved to be unable to deal with the impact of digital technology. With behavioral big data and intelligent algorithm as the core, we shall organically combine the two technical routes of data-driven and rule-driven, modify the underlying logic of contract governance, and carry out personalized transformation from three aspects: contract promotion, algorithm interpretation and default rules, so as to shift the focus of governance from fuzziness to accuracy, which can significantly improve the efficiency of contract governance and better realize fair transaction.
