The Legal Status of Partnership

1949年後中國大陸的合夥經歷了從禁止到允許的轉變過程。如今，合夥立法呈二元體制：單純以契約聯結的合夥及以合夥企業為典型、具有「主體地位」的合夥團體。與自然人權利能力的「全有或全無」不同， 團體權利能力應以「或多或少」為準則。合夥企業作為非法人團體，與法人相比，其所擁有的，是範圍不同的「部分權利能力」。

After 1949, the partnership in Chinese mainland has experienced a process from prohibition to permitted. Today, the legislation system of partnership is dualistic: the partnership agreement and the partnership organization. The former is mainly related to individual partnership, and the latter is typical partnership firm. Different from “all or nothing” of natural person’s legal capacity, the legal capacity of organization should be “more or less”. The partnership firm as a non-legal-person organization, compared with the legal person, has partial legal capacity.
