兩岸防治商業間諜保護體制與案例之研究

知識管理目的在於塑造企業成為一個「學習型組織」，透過獲得、創造、分享、整合、記錄、存取、更新等過程，達到知識不斷創新的最終目的，依此角度而言，為維繫企業競爭優勢，似乎有其必要流通與分享企業內部的各種資訊；反論，資訊不當的共享與擴散，將使組織喪失其重要的競爭優勢，畢竟絕大多數的企業仍身處在爾虞我詐的商業戰場中。商業秘密與知識管理的關係，建立在資訊保護與管制的同時；參酌兩岸商業秘密保護機制，本文著重探討兩岸司法實例，重新檢視商業秘密內涵，期更精準界定商業秘密權益，供業界解讀或機關修法時所借鑑。

This paper will address the ROC Trade Secret Law (1995) and provide a more comprehensive law to battle and prevent the further breaches of Trade Secrets. First of all, the intention of this article is to re-evaluate the nature of Trade Secret, and present an analysis of present regulations, thus clarifying the definition of right and interest in relation to Trade Secret. Secondly, this article will focus on the Trade Secret laws of the ROC and Mainland China. Finally, this paper will provide suggestions to the proposed amendments in the ROC Trade Secret Act.
