本文就私募有價證券之應募人股份及原有股東權益做出一粗淺的分析與平衡。並從民事債篇規定討論私募公司、轉讓人與應募人、購買人、受讓人債務不履行的所有情狀與法律效果，另外再討論私募公司與委託投資仲介發行私募證券之法律關係以及相關衍伸問題，試圖勾勒出有價證券私募於民事上法律關係之雛形。
